These Terms govern your access to and use of the marketplace. By creating an account or using the platform, you agree to these Terms.

1. Introduction

Welcome to AgriConnect (“Platform”, “we”, “us”), operated by ADNIN Solutions Ltd. The Platform connects buyers and sellers of agricultural products and related services.

2. User Accounts

  • You must be at least 18 years old to register and use the Platform.
  • You must provide accurate, current and complete information.
  • You are responsible for all activity under your account and for keeping your password secure.
  • We may require verification (including KYC) for certain features, payouts, or risk checks.

3. Marketplace Rules

  • The Platform is a marketplace; sellers are responsible for their listings and fulfillment.
  • Buyers and sellers must act honestly and comply with applicable laws and regulations.
  • Fraud, deception, harassment, or abuse of other users is strictly prohibited.

4. Listings & Pricing

  • Sellers must list only genuine products and provide accurate descriptions and images.
  • All prices are typically shown in Nigerian Naira (NGN). Any other currency shown is for guidance only.
  • Buyers agree to pay the listed price plus any applicable fees and delivery charges displayed during checkout.
  • We may remove listings that are misleading, unsafe, prohibited, or violate these Terms.

5. Payments & Escrow

  • Payments are processed via Paystack (or other approved providers).
  • Where escrow is enabled, funds may be held until delivery is confirmed or until an auto-release rule applies.
  • We may delay, hold, or reverse payouts where fraud, disputes, chargebacks, or compliance concerns are detected.
Important: Do not attempt to bypass the Platform (e.g., paying outside escrow) — it increases fraud risk and may lead to account suspension.

6. Delivery & Confirmation

  • Sellers must fulfill orders within the agreed timeframe and provide reasonable delivery updates where applicable.
  • Buyers should inspect items promptly on delivery and confirm receipt where the Platform provides a confirmation step.
  • If you don’t confirm delivery but you received the item, the Platform may auto-confirm after a set time to prevent abuse.

7. Disputes & Refunds

  • Disputes must be raised within 48 hours of delivery/receipt (or the timeline shown on the order page).
  • Both parties must provide evidence (photos, messages, tracking, receipts, etc.).
  • Where escrow applies, we may hold funds while investigating.
  • We may issue a refund, partial refund, replacement decision, or payout release based on evidence and fairness.
  • Chargebacks or payment reversals may result in account restriction and additional checks.

8. Prohibited Items & Conduct

The following are not allowed on the Platform:

  • Illegal, stolen, or fraudulent goods
  • Hazardous materials where restricted by law
  • Counterfeit or intellectual-property-infringing products
  • Spam, scams, fake reviews, or manipulation of ratings
  • Sharing contact details or attempting to transact outside the Platform before payment

9. Fees

  • The Platform may charge service fees for transactions and featured placements.
  • If a fee is applicable, it will be shown during checkout or in your seller dashboard.
  • Fees may change from time to time; updates will be posted on the Platform.

10. Suspension / Termination

We may suspend or terminate accounts that:

  • Violate these Terms or applicable laws
  • Engage in fraud, abuse, or repeated disputes
  • Repeatedly fail to fulfill orders
  • Attempt to bypass escrow or Platform safety controls

11. Liability Disclaimer

  • The Platform provides marketplace functionality only and does not guarantee product quality or seller performance.
  • We are not liable for indirect losses, lost profits, business interruption, or third-party actions.
  • To the maximum extent permitted by law, our total liability is limited to the fees paid to the Platform for the relevant transaction.

12. Privacy

We process personal data to operate the Platform, prevent fraud, and support transactions. You agree that we may store and process your information according to our privacy practices and legal requirements.

13. Changes to Terms

We may update these Terms at any time. Continued use of the Platform after changes means you accept the updated Terms.
